Being an effective chair

From discussions with directors and doing board evaluations, I find boards are only as good as their Chairs. This is because effective Chairs:

1. Define the overarching purpose and values for the board
It is the responsibility of Chairs to reconcile the need to satisfy shareholders’ demands for maximum value creation with the constraints presented by taking a stakeholder-friendly approach.

At the same time, Chairs
must promote the highest standards of corporate governance, demanding at a minimum compliance with the Companies Act 2016 and the Malaysian Code on Corporate Governance 2017, insisting on the highest standards of integrity and honesty.
