Serba appoints new chairman to expedite accounting issue resolution

SERBA Dinamik Holdings Bhd has announced a change in its board composition by appointing its newly-appointed independent non-executive director (INED) Datuk Mohamed Ilyas Pakeer Mohamed as the company’s non-executive chairman.

Mohamed Ilyas, 65, who was appointed to the board of the global integrated oil & gas (O&G) service provider with effect from June 11 alongside two other INEDs, will replace Datuk Mohamed Nor Abu Bakar who held a similar capacity.

Mohamed Nor, 71, will maintain his directorship in Serba as an independent director.

Mohamed Ilyas who holds an Advance Diploma in Business Studies from RMIT University Melbourne (Australia) is presently the executive chairman of VW Cars and Koperasi Amanah Pelaburan Bhd.

Additionally, he is also chairman of Hartanah AP Rakyat Bhd, CTG Capital Sdn Bhd, HAF Automotive Sdn Bhd, AP Holding Bhd and Awesome TV (Awesome Media Network Sdn Bhd).

Recall that apart from Mohamed Ilyas, Serba Dinamik has also appointed two other INEDs in Johan Mohamed Ishak and Masleena Zaid, both 46.

Johan who holds a Bachelor of Business Accounting degree from Monash University (Australia), is a chartered accountant with the Malaysian Institute of Accountants (MIA) and Chartered Accountants Australia and New Zealand (CAANZ).

The former CEO of Media Prima Bhd (2017-2020) is currently the managing director of Awesome Media Network Sdn Bhd.

Meanwhile Masleena who holds a LLB (Hons) degree from the Sheffield Hallam University (UK) and a Certificate of Legal Practice from Universiti Malaya is currently the managing partner at Masleena, Yee & Partners (since July 2010).

Prior to this, she was the section head at the Companies Commission of Malaysia (July 2008-December 2009) and prosecuting officer at the Securities Commission (February 2001-June 2008).

Aside from Mohamed Ilyas, Mohamed Nor, Johan and Masleena, Serba Dinamik’s other INEDs include KPMG Malaysia’s former partner Hasman Yusri Yusoff, Nationwide Express Holdings Bhd’s former managing director Rozilawati Basir as well as accountant Sharifah Irina Syed Ahmad Razi and lawyer Tengku Datuk Seri Hasmuddin Tengku Othman.

Apart from the three new INEDs, Serba Dinamik has also on June 14 appointed Ernst & Young Advisory Services Sdn Bhd (EY) as the independent reviewer to assess veracity and accuracy of the matters highlighted by the external auditors, KPMG PLT.

“An updated announcement will be made upon the finalisation of terms and conditions of the said appointment,” the company said in a Bursa Malaysia filing. – June 17, 2021
