Serba appoints new independent directors to strengthen board composition

SERBA Dinamik Holdings Bhd’s much depleted board has welcomed the appointment of two new independent non-executive directors (INEDs) effective today to strengthen its board composition.

The newly appointed INEDs – Felix Chin Wui Choong and Ahmad Amryn Abd Malek – have also been named as new members of the group’s audit, nomination and remuneration committees.

Chin, 55, is a Fellow of the Chartered Institute of Management Accountants, UK (CIMA) and Chartered Global Management Accountants, US (CGMA), a Member of Malaysia Institute of Accountants (MIA) and a Certified Internal Quality Auditor of Det Norske Veritas (DNV).

He has over 30 years of progressive experience and has held positions of chief financial officer (CFO), finance director, and financial controller in various business environments, both local and multinational corporations.

Chin was also an executive director of Ire-Tex Corp Bhd (now known as Iqzan Holding Bhd) prior to joining Malaysia Pacific Corp Bhd. Moreover, he is also a global assessor for CIMA and the American Institute of Certified Public Accountants (AICPA).

Joining Felix is the former Ire-tex Corp director Ahmad Amryn Abd Malek, 45, who is a law graduate from Cardiff University of Wales, UK.

He has vast experience of over 20 years in various industries namely telco, information technology (IT), plantation as well as packaging industry.

According to Serba Dinamik chairman Datuk Abdul Kadier Sahib, the appointment of both Chin and Ahmad Amryn will strengthen the board composition and the group’s direction, especially amid its current Practice Note 17 (PN17) status.

He added that their extensive experience in accounting and legal is required to advise the whole process of PN17 regularisation.

Since its former external auditor KPMG PLT red-flagged several issues on Serba Dinamik’s bills and transactions in the draft Annual Report for its FY2020 ended Dec 31, 2020, Serba Dinamik has seen numerous board changes – the latest being that of resignation by INED/non-executive chairman Datuk Seri Mohamed Farid Abu Hassan and Siti Zaleha Sulaiman on Dec 20 last year.

Serba Dinamik was last transacted at 35 sen at the close of the mid-day trading on Oct 22 last year prior to the trading suspension of its shares/warrants, hence giving the company a market capitalisation of RM1.3 bil. – Feb 25, 2022
